1. Planet Online Solutions Warranty

 

1.1 Planet Online Solutions (POL) supplies a web application consisting of website content editing tools (Web Application) which allows the Client to edit and maintain all aspects of a website, including images, text copy, digital audio and digital video files. POL also supplies web design and page layout services for its customers (Web Design Services).

 

1.2 Planet Online does not supply web hosting services, and assumes no responsibility for the provision or performance web hosting services.

 

1.3 Subject to the terms of the packages listed in Schedule 1, POL agrees to provide, during the term of the agreement, full access to the Web Application, and to provide support and prompt attention to any reasonable requests from the client regarding the performance of the Web Application.

 

1.4 Subject to clause 2, POL further warrants it will not place information on the Client's website which may in POL's estimation be used for any illegal purpose, or which may infringe the copyright of any 3rd party.

 

 

2. Client Warranty

 

2.1 Client agrees that any material submitted for publication will not contain anything leading to an abusive or unethical use of the Web Hosting Service, the Host Server or POL. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, violations of privacy, computer viruses, harassment, any illegal activity, spamming, advocacy of an illegal activity, and any infringement of privacy.

 

2.2 Client agrees to take full responsibilty for making regular backups of all data contained on Client's website.

 

3. Limitations Of Liability

 

3.1 The client indemnifies POL from any claim by a third party concerning the publication of materials that the client may publish from time-to-time. The client indemnifies POL from any vicarious liablility that may be claimed against by a third party as a result of the client’s actions.

 

3.2 The client indemnifies POL from any injury to person or property or services that is sold by or through the client’s website. The client takes responsibility and indemnifies POL from any breach of copyright, trade mark or patent.

 

3.3 Client agrees that it shall indemnify, from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees associated with POL's development of the Client's web site. This includes liabilities asserted against POL, it's subcontractors, it's agents, its clients, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by the Client, its agents, employees or assigns.

 

3.4 POL does not warrant the functions of the site will meet Client's expectations of site traffic or resulting business or that the operation of the web pages will be uninterrupted and/or error-free.  POL is not be held responsible for downtime of email or web site due to line interruptions and/or other instances beyond POL's control.

 

3.5 Notwithstanding anything to the contrary contained in this contract,the entire risk as to the quality and performance of the Web Design Service and Web Application  is with the Client. In no event will POL be liable to the Client or any third party for any damages, including, but not limited to, service interruptions, data deletions or file corruptions caused by Acts of God, the Hosting Service, hacker attacks or any other circumstances beyond POL's reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Application, failure of any service provider, of any telecommunications carrier, of the internet backbone, of any internet servers, the Client or Client's computer or internet software, even if POL has been advised of the possibility of such damages.
